The tokenization or digitization of the investment is carried out through a participatory loan, through which Domoblock receives funds from investors in exchange for repayment with interest within a timeframe agreed upon by contract.

The participatory loan is an efficient legal structure that allows investment to be channeled and structured across all types of real estate projects. It is a collaborative arrangement in which the investor participates in the financial results of the funded project and receives a variable return determined by the project’s performance.

1. House flipping Domoblock: A product that sets us apart.

This investment strategy consists of acquiring assets with high revaluation potential in prime areas at a competitive price. The revaluation is achieved by adding exclusivity to the property through a comprehensive, high-quality renovation using premium materials and elegant designs with clean lines. The property is then sold, generating a capital gain that is distributed to investors along with the invested capital.

This strategy is aimed at investors who expect annual returns of over 10% in projects lasting between 4 and 8 months.

2.Building Flipping: This strategy consists of acquiring commercial premises to convert them and change their use to apartments, or acquiring buildings for renovation and subsequent sale with capital gains.

This strategy is aimed at investors with a moderate risk profile who seek to obtain high returns and grow their equity through projects with a duration of less than 12 months.

2.1. Registration

If you want to invest in the opportunities presented by Domoblock on its platform, the first step you must take is to register.

How can you do this? By accessing the platform:

Registration image: Enter your email and password.

Once registered, you will receive an email in your inbox to verify and complete your registration. If you have not received it yet, remember to check your spam folder. To verify your account, click the link included in the email and your account will be registered.

After completing the registration, the platform will automatically guide you through the Know Your Customer (KYC) verification process. The purpose of this process is to ensure regulatory compliance and provide you with a safe and secure investment experience.

2.2. Verification

Once registered, the platform will automatically guide you through the Know Your Customer (KYC) verification process. This process is required for regulatory compliance and is designed to provide a safe and secure investment experience.

2.2.1. Personal information

To get started, indicate whether you will be investing through a company or as an individual. Then, you will see the three types of information you need to complete:

Complete the KYC process by providing your personal information, financial information, and completing video identification.

First, you will be asked to provide your personal information, including your first name, last name, date of birth, nationality, country of residence, address, city, ZIP code, and contact details.

You will then be asked to indicate whether or not you are a U.S. citizen or a politically exposed person.

Note: Remember that a politically exposed person is someone who has been entrusted with a prominent public function (such as high-ranking officials, military personnel, or senior executives).

Finally, complete the personal information section by indicating your profession.

We want to learn more about your financial information, such as your recurring income, the source of the funds you plan to invest in Domoblock, and the percentage of your income that this investment represents.

2.2.2. Financial Information

Financial Information: 1) What is your regular income? 2) What is the source of the funds you plan to invest? 3) What percentage of your income does the amount you want to invest in Domoblock represent?

Next, we want to learn about your interests as an investor, how much volatility you are willing to assume, what your investment objectives are, and your investment time horizon.

It is important that you understand the financial instruments offered by Domoblock and the risks associated with them, as otherwise we will not be able to approve your profile.

That is why we ask whether you are familiar with the financial instruments offered by Domoblock and whether you have invested in unlisted companies managed by yourself or by others. You must answer “Yes,” because you agree to acknowledge the security token; otherwise, we will not be able to validate your identity and the verification process cannot be completed.

Basically, a security token is a token that represents a traditional financial instrument, such as a bond, a company’s equity, or a profit-sharing loan in a company.

Financial Information: Do you want to be treated as a professional investor?

Once you have confirmed the above, you will be asked to indicate whether you wish to be treated as a professional investor. If you choose to be treated as one, it is because your main activity is investing or because you plan to invest more than €10,000 per transaction.

2.2.3. Video identification

Next, you will be asked to complete a video identification process, which involves taking a photo of the front and back of an identity document of your choice: passport, identity card, residence card, or driver’s license.

Remember to accept the processing of your personal data, and if you wish, you can review the terms and conditions and the privacy policy.

Accept the permissions to access your device’s camera. You will use it to take photos of your document along with a selfie of yourself.

Once the photographs have been taken, you will receive a thank-you message and will click the “Finish” button.

Once the process is completed and everything has gone well, your user account will be accredited. Otherwise, it will be sent to Review and you will be notified of the issue detected so you can correct it.

2.3. Investment Method Configuration

Once this process is completed, we will ask how you would like to invest, either via blockchain or by bank transfer.

2.3.1. Bank transfer

If you are more familiar with traditional investing and prefer to invest in euros and receive returns in euros, don’t worry—you can still invest with Domoblock without any prior knowledge of blockchain.

You can invest directly via bank transfer through our payment gateway (fiat investments have a minimum of €200).

- If you have your own wallet, select “Yes” to connect it.

- If you do not have your own wallet, we will create one for you. You only need to add your bank account.

If you choose bank transfer and have more than one wallet, you can decide how to withdraw your capital gains, either in DAI or via bank transfer to your bank account.

2.3.2. Blockchain

If you want to invest via blockchain, you must add a wallet to your profile. You will need DAI to do so, and the minimum investment amount is €200.

3.1. Explore Investment Opportunities

On the left-hand panel of the platform, you will find the “Opportunities” section. This is where all available investment projects are listed.

At the top of the page, you will find useful filters that allow you to filter each item:

Highlights project status, profitability, and date
  • Name: Use this if you have a specific project in mind. Start typing its name and the list will update automatically.
  • Project status: You will see a drop-down menu with the available options. This filter lets you identify projects that have already finished, those that are active, or those about to be launched. Select the option that matches your search.
  • Return: Use this filter to sort opportunities by their profit potential. Arrange projects from highest to lowest return, or vice versa.
  • Date: This filter allows you to organize projects by their start or end date.
  • Reset filters: Click to return the section to its default view.

Once you have explored them, you can view detailed information about each opportunity to help you decide whether to invest. You will find:

  • Project name: Gives you an idea of what the investment is about.
  • Project status: This lets you identify the current stage of the project. If it says “Study,” it means the project is close to launching; if it says “Financed,” it means it has already been funded. “Sold” and “Dividend distribution” mean exactly what their names indicate.
  • Estimated time frame: The period required for the project to be purchased, refurbished, and sold once it is fully funded.
  • Annual return: The annualized return you will receive as capital gain once the project is completed.

If you click More details, you will find all the information related to the project.

You have access to all the documentation related to the investment opportunity, including the Whitepaper, investment dossier, and token subscription agreement. These documents will help you better understand the opportunity and make an informed investment decision.

Types of documentation

3.2. How to Deposit and Withdraw Funds in Euros

To get started, from the home screen, go to the left-hand menu and click Digital Wallet. <br>Two options will be displayed. To manage your funds in euros, select In euros. Here you will find the options to deposit, withdraw, and view your transaction history.

3.2.1. Deposit Money

First, go to the Deposit money section. There you will find two options: Bank transfer and Credit card.

1. By bank transfer

If you choose 'By bank transfer', you will be guided step by step through the bank transfer process. This works the same way as making a transfer from your bank account. The IBAN shown is unique and exclusively linked to your Domoblock wallet.

The steps you must follow are: access your bank's application, transfer the money you want to charge to your digital wallet using this IBAN, click on the orange squares to copy the code and then paste it into your bank's application.

Please note that it may take 24 to 72 business hours for the balance to be reflected in your wallet.

2. By credit card

Enter the amount you wish to deposit in the Amount to deposit field.

A 0.5% commission will apply. For example, if you deposit €200, an additional €1 will be charged. This commission is shared: 0.5% is paid by the investor, and the remaining portion is covered by Domoblock.

Once you have entered the amount to deposit, click Perform operation. Please note that the maximum amount per credit card transaction is €2,400.

Once you click, a payment link will be generated and a notification will appear confirming this. You will then be redirected to the payment gateway.
To complete the payment, click Go to payment gateway.

3.2.2. Withdraw money

Go to the Withdraw Money section.

Withdraw funds – Link bank account

If you do not have a linked account yet, the first step is to link one. To do so, click Link account.

A window will open where you will be asked to provide the following information:

  • Account alias: Enter a name for your account. This will help you identify it later if you link more than one account.
    If you plan to link only one account, we recommend using your own name.
  • IBAN number: First, select the country to which the account belongs, then enter the IBAN corresponding to your account. Please note: when entering your IBAN, only enter the numbers after selecting the country. Do not include the initial letters. If you do, the account will not be linked correctly.
    Once your account is linked, this step will not be required for future withdrawals.
  • BIC Code: Enter the BIC code of your bank account.

Finally, click the Link account button.

Finally click on the "Link account" button.

Withdrawal with linked account: If you already have a linked account, you only need to click on the "Request withdrawal" option. A window will open where you will have to select the bank account where you wish to make the withdrawal and the amount to withdraw in euros. Once your bank account is linked, you can click on 'Request withdrawal', enter the amount you wish to send and the available balance will be transferred directly to your bank within 24 to 72 hours.

3.3. How to invest through the blockchain

If you prefer to invest using crypto assets through the blockchain, you can also do so with Domoblock.

First, go to Digital Wallet in the left-hand menu. Once there, select On blockchain.

You will then be redirected to the Manage Wallets section. From there, you can add your wallet by clicking Add new wallet.

When you click 'Add new wallet', a window will open showing the list of wallets authorized to operate on Domoblock, known as the Whitelist.

What does this mean? It means that even if you connect your MetaMask wallet correctly, you will not be able to make any transaction if your wallet address has not been previously added to the Domoblock Whitelist. This is a fundamental security measure to ensure the integrity of all transactions. If you have already verified that your wallet is included in the Domoblock Whitelist, you can proceed to add it now.

Before continuing, make sure your MetaMask account is open on your computer.

Make sure you have selected the correct wallet in MetaMask. If you have multiple accounts, ensure you are connecting the one you want to use with Domoblock.
You can switch accounts using the drop-down menu at the top of the MetaMask window.

Once you return to Domoblock, click Add wallet.

A MetaMask pop-up will appear asking you to confirm or sign the connection.

Click'Confirm' to authorize the connection.

Please wait while the connection is being processed. Do not close the screen.

That’s it! Your wallet has been successfully added to Domoblock and will be displayed as shown below.

3.4. How to invest

Once you have explored the available opportunities, selected the project you wish to invest in, and deposited funds into your digital wallet, you are ready to invest.

Please keep in mind that investments can only be made when a project is in Active status. This status is updated on a specific date and time. To receive notification of the next opening of an investment opportunity, we invite you to join our Telegram community where we keep you informed in real time.

When the project reaches Active status, simply click the Invest button to proceed.

Once you click the Invest button, please wait while the investment data is loaded.

The interface where the financing options are presented is shown below. The"Digital Wallet" and"Blockchain" options (if connected) are briefly pointed out.

Below are the most recurring investment options, if you plan to invest a different amount, click on the "Customize" button. A text field will appear just below, where you can enter the number of shares you want to purchase.

Important: You must enter the number of shares, not the amount in euros (€).

If you want to customize the number of shares, click Customize. A text field will then appear, allowing you to enter the number of shares you wish to invest in.

If one of the participation boxes corresponds to the participation you want to make, by clicking on it you will find at the bottom the details of the future investment: the "Amount to invest in Euros", the "Estimated return" which can be viewed on an annualized or absolute terms and the "Estimated project duration".

If you customize the number of shares, once you enter the amount in the text field, you will see the full details of your future investment, including: the "Amount to invest in Euros", the "Estimated return" which can be viewed on an annualized or absolute terms and the "Estimated project duration".

Once you agree with the number of shares, you must continue by clicking on the "I agree to subscribe to the legal terms and conditions of the contract" button. This step represents the signing of the subscription agreement for the acquisition of shares, previously referred to as the whitepaper.

Once you have completed the previous steps and confirmed that everything is correct, click the "Reserve" button to finalize your investment reservation.

Next, a message will appear on the screen explaining the next steps to complete your investment. If your reservation was made before the funding target was reached, you will receive an email confirming that your investment has been successfully completed.
If your reservation was made after the funding target was reached, you will also be notified by email.

4.1 Dashboard

One of the new features of the platform is the new control dashboard. To access it, click on Dashboard in the main menu.

Below, you will find the following sections: Financial Summary, Transactions, My Investments, and Documents.

4.1.1. Consult your financial report

In this section, we provide a detailed overview of the Financial Summary.

Below, we explain each of the metrics shown in the financial summary:

1.Available balance: The total amount of money currently available in your digital wallet, as shown in the main menu.

2. Average annual return: This percentage represents the annualized return generated by investments that have already been completed. It is calculated only for closed projects, as it would not be meaningful to show profitability for projects still in progress.

3. Active investment projects: Indicates the number of projects in which you currently have capital invested.

4. Total capital invested: The total amount of capital you have invested on the platform since you started investing.

5. Capital currently invested: The amount of capital currently tied up in active projects.

6. Total interest earned: this is the total amount of euros you have earned thanks to your closed investments.

7. Estimated interest to be received: this is a projection of the interest in euros expected to be generated by your investments that are still in progress.

8. Withdrawn principal: Shows you the total principal you have withdrawn from your digital wallet to your bank so far.

Finally, the final "Investment evolution" graph will allow you to visualize the evolution of your investments and to have a more complete view of all these metrics. In fact, this graph can be downloaded in SVG, PNG or CSV format. You can also filter the data you are interested in viewing.

4.1.2. Consult your transactions

In this section we will explore the'Transactions' tab.

When accessing the 'Transactions' tab , the operations shown are the one-time transfers of money from our digital wallet to one of the projects. Just below, under 'Investments' (which is usually the default), you will find all the capital movements related to your investments, regardless of the project. For example, if you have made three investments in the same project, here you will see the three individual movements, unlike the 'My Investments' tab where they are grouped together.

To make the search easier, you can filter the movements by date range, by type of transaction, either in euros or via blockchain, and also by amount.

It is important to note that, in the web version, this view can be the detail of each operation. In the mobile version of the platform, to see the detailed information of each transaction, simply click on the movement you are interested in.

Next, we have the'Transfers to portfolio' sub-tab. Here you will see the movements of funds to your portfolio from projects that have been completed or have made a return of principal or interest. You can also filter these movements by date and amount as in the example above.

4.1.3. Keep track of your investments

In this section we will explore the'My Investments' tab. Here you will find all the investments in which you have participated, grouped by project.

By default, you will see the'Digital Wallet' button. Here you will see all the investments you have made using euros in the traditional way. For each investment, you will see key information such as the Project, the Term, the Expected Return, the Invested Capital, the Current Status of the project and the'More info' button." we can also filter "my investments" with the buttons in the table.

  • In progress: these are investments that are currently active
  • Pending management: These are completed investments for which you can claim the generated returns.
  • Closed: These are completed and fully managed investments.

Click on the "More info" button if you want to find more detailed information about this investment.

If the project you are consulting has already been completed, you will find a"Return on Investment" button here so that you can claim your funds.

If you are viewing a project that has already been completed and you have withdrawn your investment, you will see a screen similar to the one shown below.

If you want to consult the investments made from"Blockchain". You will only see transactions associated with the wallet currently connected. The information displayed follows the same structure as in the Digital Wallet section.

4.1.4. Download your documents

Now let's explore the"Documents" tab.

Here you’ll find all subscription contracts related to your investments on Domoblock. This section contains what was previously referred to as the whitepaper—the agreement between you and Domoblock for each project.

You will see a list of all the projects you have invested in. For each one, the project name and contract creation date are displayed. You can also download each document in PDF format.

4.2. Learn about the Referral Program

In the left-hand panel, go to the Referrals section. There you’ll find all the information you need to participate in our Referral Program.

Here’s how the Domoblock Referral Program works. You can explore it directly on the platform. It’s a great way for both you and your friends to earn extra benefits while investing. Before getting started, there are two important points to keep in mind:

  • Referral program bonuses are not managed directly through the platform. Once the project is completed, bonuses are credited to the investor’s portfolio as additional investment returns.
  • You can check the status of your bonuses in the Excel file that we share via email after each property investment.
  • To access the referral program, go to the home page and select the Referrals section from the main menu.

First, visit the Program Conditions section, where you will find all the information related to the referral program and answers to any questions you may have.

You may ask, what do I get for inviting a friend?

It's very simple: for each friend you invite to Domoblock, you earn 50€ and your friend also earns 50€. So you both start with a head start!

How do I unlock the bonus? This bonus is unlocked in two key steps. Step 1: When your referred friend makes their first investment of at least €500, you, as a referrer, will receive 50 and 100 points that you can use whenever you want. In addition, your friend will have his or her €50 bonus unlocked. Secondly, if that same friend makes a second investment of at least 500€, then he or she will be able to use or redeem his or her bonus on the project of his or her choice.

It is very important to note that if the friend does not make that second investment, his or her bonus will remain pending and cannot be redeemed with just one investment. It is also important to remember that both you and your friend have 6 months from the time the bonus is unlocked to use it.

Here is a brief overview of how the referral process works. First, make sure your friend has already registered on Domoblock. Then, go to the referral form, which you can find in the same section.

Complete the form with the following information: your referral’s name, email address (the one they used to register), and your email address (the one registered on Domoblock).

4.3 Request help through the platform

The acquisition of tokens from the borrower(Domoblock) subscribes the lender(investor) to a non-tokenized participative loan(Project).

Income generated from the project between Domoblock and the investor, whether the investor is an individual or a legal entity, will be classified as movable capital income and will be subject to withholding tax.

‍Domoblockis obliged to submit and pay this income to the Tax Agency, in accordance with Articles 75.1.b of the Personal Income Tax Regulations and 128 of the Corporate Income Tax Law.

5.1. Domoblock’s tax obligations

Domoblock will apply withholding tax on the income obtained from the sale of the project, in accordance with the following criteria:

  • The taxable base will be equal to the capital gain, calculated as the difference between the total amount received and the initial investment.
  • The tax rate applied by Domoblock to individuals or legal entities with tax residence in Spain is  19%.

    * This tax may be deductible for the investor under Personal Income Tax (IRPF) or Corporate Income Tax (IS).
    When? In the tax year in which the income is received, subject to certain exceptions.

    - For EU resident investors (resident in an EU Member State other than Spain), income accrued from a participative loan will not be subject to withholding tax, provided the investor submits a certificate of tax residence issued by their country of residence, confirming EU residency. If such certificate is not provided, Domoblock will apply a 19% withholding tax.

    -For non-EU investors, where a Double Taxation Agreement (DTA) in force between Spain and the investor’s country of tax residence provides for a withholding tax rate lower than 19%, the investor must submit a valid certificate of tax residence.
    If no certificate is provided, Domoblock will apply a 19% withholding tax.‍
  • The withholding obligation will arise upon the maturity date agreed in the investment contract (Whitepaper) or when the returns are credited to the investor’s account, whichever occurs first.
  • The settlement of the withholding by Domoblock will be carried out by means of form 123.

5.2. Investor tax obligations

Although the primary responsibility for the taxation of income rests with Domoblock, it is important that each investor complies with their personal obligation to declare capital gains in their annual tax return. Depending on the country of residence and other income earned from loans or financial instruments, applicable tax rates may vary.

Investors must declare this income under the savings or investment income category, as capital income derived from the transfer of assets to third parties (Article 25.2 of the Spanish Personal Income Tax Law).

In the case of Spain, tax brackets are determined by law and are summarized below.

Individuals: Net taxable income and Personal Income Tax (IRPF) rates: €0–6,000 (19%), €6,000–50,000 (21%), €50,000–200,000 (23%), €200,000–300,000 (27%), over €300,000 (28%).
